Scope

Draft terms for IT services supplied by noworrIT GmbH, Sinichbachstraße 60, 39012 Merano, Italy, exclusively to business customers. Consumer contracts are outside this draft. Terms apply only if provided before contract formation and validly incorporated.

Contract formation

The website is informational. Submitting an enquiry or choosing a package is not a binding order. A contract follows acceptance of an individual offer or another expressly agreed engagement. Individual agreements and service specifications take priority.

Service scope

The offer defines devices, services, licences, setup, support, backup, recovery and third-party products. Package names do not promise unlimited support, absolute security or a guaranteed recovery time.

Cooperation

The customer supplies necessary information, lawful access and contacts, controls internal permissions and reports material changes or faults. Credentials must use agreed secure channels. noworrIT performs the commissioned work with due professional care.

Emergencies

Emergency availability is daily from 07:00 to 21:00, 365 days a year. This does not guarantee response, resolution or restart times. Eligible users, contact channels, time zone, priorities, charges and service levels are agreed in the offer.

Backup and recovery

Covered systems and data, intervals, retention, monitoring, test restores, locations and recovery services must be specified. Customers report new or uncovered systems. Zero data loss is not promised. Each party remains responsible for the backup obligations it has contractually accepted.

Third-party products

Microsoft 365, Copilot and other third-party products are also subject to validly incorporated vendor and licence terms. Required licences and renewals are set out in the offer. Data-sharing roles are addressed separately.

Fees and term

Prices, taxes, billing, payment dates, extra work, term and termination are individually agreed in the offer. A monthly price does not automatically mean monthly cancellation. Extensions and changes require valid agreement; website changes do not unilaterally change existing contracts.

Confidentiality and data

The parties comply with legal and contractual confidentiality duties. Where noworrIT processes personal data on behalf of a customer, an Article 28 GDPR agreement is concluded first. These terms do not replace that agreement or a technical specification.

Liability and exit

Applicable law and valid individual agreements govern defects and liability. This draft contains no blanket exclusion and does not limit intent, gross negligence or other mandatory liability. Data export, access handover, ongoing licences and deletion are agreed at exit, preserving statutory rights.

Law and review

Italian law is intended for the B2B contracts, subject to mandatory provisions and valid agreements. No exclusive jurisdiction is imposed here. Language versions, incorporation and any required specific approval of clauses must be legally reviewed before use.
